School licence agreement
This agreement is between ZalaStack Inc. ("Fieldbook", "we") and the school, school district, group of schools or organization named on the quote, purchase order or order confirmation (the "School"). It applies to Small team, School licence and group or district licences. Individual teacher plans are covered by our terms of use.
1. What the licence grants
For the term, Fieldbook grants the School a non-exclusive, non-transferable licence for its named teachers to download, print, copy and adapt the lessons, unit workbooks, assessments and teacher guides in the Fieldbook library ("Materials") for teaching the School's own students. This includes:
- printing and photocopying as many student copies as the School's classes need;
- projecting Materials in class and placing them on the School's own password-protected learning platform, for its own staff and students only;
- adapting Materials for the School's classes, including translation and accessibility changes;
- new lessons and units published during the term, at no extra charge.
2. Named teachers
The licence covers the number of named teachers on the order (5 for Small team, 40 for a School licence, or the number on a group quote). The School adds, removes and replaces teachers from its account at any time. A teacher who leaves the School loses access; the seat passes to someone else. Need more seats? We'll quote an upgrade for the rest of the term.
3. What the licence does not allow
Selling, sublicensing or publishing the Materials, sharing them with people outside the School, posting them on public websites or marketplaces, or using them to train machine-learning models. Ask us about any other use; we usually say yes.
4. Term and renewal
The term is 12 months from the start date on the order confirmation. Licences paid by invoice do not renew automatically: we send a renewal quote before the term ends. Licences paid by card renew each year until cancelled from the account, with access to the end of the paid year. After the term, the School may keep using copies already printed for students in that school year.
5. Fees, invoicing and payment
Fees are as stated on the quote or order. We invoice on acceptance of the purchase order, and payment is due within 30 days of the invoice. Access starts when we confirm the order, before payment. Taxes are shown on the invoice where they apply; the School is responsible for any withholding tax or reverse-charge VAT in its own country.
6. Kits and physical products
Classroom kits bought with or included in a licence are covered by our shipping and returns policy. Title passes on delivery.
7. Ownership
Fieldbook, or the people who licensed content to us, own the Materials and all intellectual property in them. Work that the School's teachers and students create with the Materials belongs to them.
8. Data protection
Fieldbook does not collect information about students. The personal information we process for the School (teachers' names and email addresses) is handled under our privacy policy and the data processing terms in our data protection and security document, which form part of this agreement.
9. Safety
Every lesson includes safety notes. The School is responsible for supervising students and for following its own safety rules, which take priority over ours.
10. Warranties and liability
We warrant that we have the right to license the Materials and that, to our knowledge, they don't infringe anyone's rights. If a lesson contains an error, tell us and we'll correct it. Otherwise the Materials are provided as they are. To the extent the law allows, neither party is liable for indirect or consequential losses, and each party's total liability under this agreement is limited to the fees paid in the 12 months before the claim.
11. Ending the agreement
Either party may end this agreement if the other materially breaches it and doesn't fix the breach within 30 days of written notice. If we end it for our breach, we refund the unused part of the fees.
12. General
This agreement, the quote and the order confirmation are the whole agreement between the parties. Terms printed on a purchase order don't apply unless both parties sign them. Changes must be in writing. This agreement is governed by the laws of Alberta and the federal laws of Canada that apply there.
